1. Acceptance of Terms
By accessing or using our website, platform, or services (collectively, the “Services”), you agree to be bound by these
Terms of Service (“Terms”) and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services,
you represent and warrant that you meet this requirement and are legally able to enter into these Terms.
3. Services
Contracts Are Us provides intelligent contract analysis, data extraction, and related contract and procurement management
solutions (including “LexiVision AI”). We may modify, suspend, or discontinue any part of the Services at any time, with or
without notice, and without liability to you.
4. Accounts & Security
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities occurring under your account.
- You agree to provide accurate, current, and complete information and to update it as needed.
- Notify us immediately of any unauthorized use or security incident.
5. Fees, Subscriptions & Billing
- Some Services require paid subscriptions or usage-based fees as presented at checkout or in an order form.
- Unless stated otherwise, fees are billed in advance and are non-refundable.
- Subscriptions renew automatically at the end of each term unless cancelled in accordance with these Terms.
- You authorize us and our payment processors to charge your provided payment method for applicable fees, taxes, and charges.
- Late payments may incur service suspension and/or interest to the maximum extent permitted by law.
6. Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent activities.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law.
- Use the Services to store or transmit infringing, defamatory, or otherwise objectionable content.
7. Your Content & Data
You retain ownership of all documents, data, and content you upload or submit to the Services (“Customer Data”).
You grant Contracts Are Us a worldwide, non-exclusive, limited license to host, process, and display Customer Data
solely to provide and improve the Services, and as otherwise permitted by law and our Privacy Policy.
You are responsible for obtaining all rights, consents, and permissions necessary for us to process Customer Data
as described in these Terms.
8. Privacy & Security
Our handling of personal information is described in our Privacy Policy and
Cookie Policy. We implement commercially reasonable technical and organizational
measures designed to protect your data. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
9. Intellectual Property
The Services, including all software, models, algorithms, designs, text, graphics, and logos, are owned by or licensed
to Contracts Are Us and are protected by intellectual property laws. Except for the limited rights expressly granted
herein, no rights are granted to you. You may not remove or alter any proprietary notices.
10. Third-Party Services
The Services may integrate with or link to third-party products or websites. Your use of third-party services is subject
to their terms and policies. We are not responsible for third-party services and disclaim all liability arising from your use of them.
11. Beta Features & Free Trials
We may offer features identified as beta, preview, or evaluation. Such features are provided “as is,” may be discontinued
at any time, and are excluded from any warranties or service level commitments.
12. Warranties & Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW,
CONTRACTS ARE US DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES
WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR COMPLY WITH SPECIFIC LEGAL STANDARDS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTRACTS ARE US, ITS AFFILIATES, OFFICERS, EMPLOYEES,
OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY
FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CONTRACTS ARE US
FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Contracts Are Us and its affiliates from and against any claims,
damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
(a) your use of the Services, (b) your violation of these Terms, or (c) your infringement of any third-party rights.
15. Suspension & Termination
We may suspend or terminate your access to the Services at any time for any reason, including violations of these Terms,
non-payment, or to address security risks. Upon termination, your right to use the Services ceases immediately.
Certain provisions survive termination, including ownership, payment obligations, limitations of liability, and indemnities.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts
located in Seminole County, Florida, and you consent to the jurisdiction of such courts. The United Nations Convention
on Contracts for the International Sale of Goods does not apply.
17. Export & Compliance
You represent that you are not located in a sanctioned country and are not a prohibited party under applicable export laws.
You agree to comply with all export control and trade laws applicable to your use of the Services.
18. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page with the “Effective Date”
updated above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
19. Notices
We may provide notices to you via email, in-product notifications, or postings on our website. You may provide legal notices
to us at info@contractsareus.com or by mail to the address listed above.
20. Miscellaneous
- Entire Agreement: These Terms, together with any order forms and referenced policies, form the entire agreement between you and Contracts Are Us.
- Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.
- No Waiver: A failure to enforce any right or provision is not a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Headings: Headings are for convenience only and do not affect interpretation.
